These Terms of Use ("Terms") govern your access to and use of the OpenCall mobile application ("App") and related services (collectively, the "Service") provided by Calify LTD ("Calify," "we," "us," or "our"), a company registered in Israel.
By creating an account or using OpenCall, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1.1. You must be at least 17 years old to use OpenCall. By using the Service, you represent and warrant that you are at least 17 years of age.
1.2. You must have the legal capacity to enter into a binding agreement in your jurisdiction.
1.3. You must not be prohibited by applicable law from using telephony services or AI-assisted communication tools.
1.4. The Service is available internationally, subject to local laws and regulations. You are solely responsible for ensuring your use of OpenCall complies with all laws applicable in your jurisdiction and the jurisdiction of the person you are calling.
2.1. OpenCall is an AI-powered phone call agent that makes autonomous phone calls on your behalf using AI voice synthesis and telephony infrastructure.
2.2. The Service enables you to:
Instruct an AI agent to place phone calls on your behalf
Provide call goals and context for the AI to follow
View real-time transcripts of calls in progress
Review call history and transcripts
Verify your phone number as caller ID
Clone your voice for use by the AI agent
Design custom AI voices
Monitor live calls and take over from the AI (supervisor mode)
2.3. The Service uses third-party providers including ElevenLabs (AI voice synthesis and conversational AI), OpenAI (language model powering the AI call agent via ElevenLabs), Twilio (telephony), Anthropic Claude (question generation), and Firebase (authentication and data storage).
2.4. OpenCall is not a telecommunications carrier or phone service. The Service is not intended to replace traditional phone service and must not be used to place emergency calls (e.g., 911, 112, 999, or any local emergency number). OpenCall cannot connect you to emergency services. If you need emergency assistance, use a traditional phone, mobile device, or landline. We are not liable for any inability to contact emergency services through the Service.
3.1. You must create an account using Google Sign-In or Apple Sign-In to use the Service.
3.2. You are responsible for maintaining the security of your account and for all activities that occur under your account.
3.3. You must not share your account credentials or allow others to access your account.
3.4. You must notify us immediately at support@calify-ai.com if you suspect unauthorized access to your account.
3.5. Before using the Service, you must accept the third-party AI data sharing consent, which discloses that your data will be processed by ElevenLabs, OpenAI, Twilio, and Anthropic. You may revoke this consent at any time through Profile → Data & Privacy, which will sign you out and prevent further use of the Service until consent is re-granted.
You may use OpenCall only for lawful, legitimate purposes, including but not limited to:
Making personal or business phone calls
Scheduling appointments
Making inquiries or requests
Conducting legitimate business communications
You must NOT use OpenCall to:
(a) Harass, threaten, intimidate, or abuse any person
(b) Commit fraud, scams, or deception — including phishing, pretexting, social engineering, or impersonation of another person or organization
(c) Conduct unsolicited telemarketing, robocalling, or spam calls in violation of applicable laws (including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, or equivalent laws in other jurisdictions)
(d) Impersonate any person or entity — including using voice cloning to impersonate someone without their explicit written consent
(e) Make threats of violence, issue bomb threats, or engage in swatting or any emergency service abuse
(f) Engage in any illegal activity, including wire fraud, identity theft, extortion, or blackmail
(g) Violate wiretapping, eavesdropping, or recording consent laws in any applicable jurisdiction
(h) Call numbers on Do Not Call registries where prohibited by law
(i) Attempt to deceive call recipients about the AI-assisted nature of the call or attempt to circumvent, disable, or interfere with the mandatory AI disclosure
(j) Use the Service to collect personal information from call recipients without their knowledge or consent
(k) Make calls for the purpose of market manipulation, insider trading, or securities fraud
(l) Use the Service in any way that could damage, disable, or impair our infrastructure or interfere with other users
(m) Attempt to place emergency calls (e.g., 911, 112, 999) through the Service
You are solely responsible for all calls made through your account. This includes:
The content and purpose of every call
Compliance with all applicable telecommunications laws in both your jurisdiction and the recipient's jurisdiction
Ensuring you have a legitimate reason for each call
Any consequences resulting from the AI agent's statements during your calls
5.1. Every call made through OpenCall begins with a mandatory disclosure to the call recipient stating that the call is AI-assisted and is being transcribed. This disclosure is delivered in the language of the call.
5.2. You must not attempt to circumvent, disable, modify, or interfere with this disclosure in any way. Any attempt to do so is a material breach of these Terms and grounds for immediate account termination.
5.3. You acknowledge that OpenCall operates transparently: call recipients are informed they are interacting with an AI system.
6.1. All calls made through OpenCall are recorded and transcribed. Call recipients are informed of this at the start of each call through the mandatory AI disclosure.
6.2. Call transcripts are stored in your account and accessible through the App's call history.
6.3. Call recordings are stored by our telephony provider (Twilio).
6.4. You are responsible for complying with all applicable recording consent laws in your jurisdiction and the recipient's jurisdiction. Many jurisdictions require all-party consent for call recording. The mandatory AI disclosure provides notice of recording, but you must determine whether additional consent is required under applicable law.
6.5. Two-party consent jurisdictions (including but not limited to California, Florida, Illinois, Pennsylvania, Washington, and various international jurisdictions) may impose additional requirements. You are solely responsible for understanding and complying with these requirements.
6.6. You may delete individual call transcripts or your entire call history through the App. To request deletion of call recordings, contact support@calify-ai.com.
(a) Voice cloning is an optional feature that creates a digital replica of a human voice.
(b) You warrant that any voice you clone is either your own voice or that you have obtained explicit consent from the voice owner. You must select the appropriate consent option during the cloning process.
(c) Voice cloning consent is logged and stored for legal compliance purposes.
(d) Voice data is processed by ElevenLabs and is subject to ElevenLabs' Privacy Policy and Terms of Use. We have disabled the use of data processed through our Service for ElevenLabs' AI model training. However, ElevenLabs' terms retain a perpetual license over content processed through their platform. See our Privacy Policy for more details.
You must NOT:
Clone the voice of any person without their explicit consent
Use cloned voices to impersonate others for fraudulent, deceptive, or malicious purposes
Create deepfakes or misleading audio content
Use cloned voices in any way that violates the rights of the voice owner
Clone voices of public figures, celebrities, or politicians without authorization
You are solely liable for any misuse of voice cloning, including but not limited to:
Impersonation or identity fraud
Deepfake creation
Unauthorized use of another person's voice
Any damages, claims, or legal actions arising from voice cloning misuse
We reserve the right to immediately terminate your account and delete all cloned voices if we determine, in our sole discretion, that you have misused the voice cloning feature. We may also report suspected misuse to law enforcement.
8.1. The AI agent is an artificial intelligence system and has inherent limitations. You acknowledge and accept that:
(a) The AI may make errors, misunderstand instructions, provide inaccurate information, or say unexpected things during calls
(b) The AI may fail to complete your requested task or may complete it incorrectly
(c) The AI may misinterpret the call recipient's responses
(d) The AI may generate responses that are inappropriate, irrelevant, or inconsistent with your instructions
(e) Call quality, connection, and completion are dependent on third-party telecommunications and AI infrastructure and are not guaranteed
8.2. We are not liable for anything the AI agent says or does during calls. The AI operates based on your instructions and third-party AI models, and its outputs are not within our direct control.
8.3. You should review call transcripts and follow up on important calls to verify that the AI completed the task as intended.
9.1. Our IP: The Service, including its software, design, features, AI prompts, and branding, is owned by Calify LTD and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9.2. Your Content: You retain ownership of the content you provide (call goals, identity information, voice recordings). By using the Service, you grant us a limited license to process this content solely for the purpose of providing the Service.
9.3. Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
9.4. You must not reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
10.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
10.2. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.3. We do not warrant that:
The Service will be uninterrupted, error-free, or secure
Calls will be completed successfully
The AI agent will perform tasks accurately or as intended
Transcripts will be accurate or complete
The Service will be available in all jurisdictions
10.4. We are not a telecommunications carrier and do not guarantee call quality, connectivity, or delivery.
11.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALIFY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:
Loss of profits, revenue, or business opportunities
Loss of data or data breach damages
Damages arising from AI agent errors or unexpected behavior
Damages arising from failed, dropped, or misdirected calls
Reputational harm resulting from AI agent statements
Any damages arising from unauthorized access to your account
11.2. OUR TOTAL AGGREGATE LIABILITY for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty US dollars (USD $50), whichever is greater.
11.3. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
11.4. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12.1. You agree to indemnify, defend, and hold harmless Calify LTD, its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
(a) Your use of the Service or any calls made through your account
(b) Your violation of these Terms
(c) Your violation of any applicable law, regulation, or third-party right (including telecommunications laws, recording consent laws, TCPA, GDPR, or equivalent)
(d) Misuse of voice cloning, including impersonation, unauthorized cloning, or deepfake creation
(e) Any claim by a call recipient or third party arising from a call made through your account
(f) Your provision of inaccurate, misleading, or fraudulent information to the AI agent
(g) Any regulatory investigation, fine, or enforcement action arising from your use of the Service
We may suspend or terminate your account immediately, without prior notice, if:
You violate these Terms, including the Acceptable Use Policy
You misuse voice cloning features
We receive a credible complaint about calls made through your account
We are required to do so by law or legal process
We detect fraudulent, abusive, or suspicious activity on your account
Upon termination, we will delete your account data, including call history, transcripts, cloned voices, and verified caller IDs.
You may delete your account at any time through the App (Profile → Delete Account). Account deletion will:
Remove your account from Firebase Authentication
Delete all call history and transcripts from Firestore
Delete all cloned voices from ElevenLabs
Remove all verified caller IDs
Delete your voice clone consent records
Account deletion is permanent and irreversible.
14.1. The Service relies on third-party providers including ElevenLabs, OpenAI, Twilio, Anthropic, Firebase/Google Cloud, Apple, and Google. Your use of the Service is also subject to the terms and policies of these providers.
14.2. We are not responsible for the availability, accuracy, or performance of third-party services. Outages or changes to third-party services may affect the Service.

15.1. These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
15.2. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Israel.
15.3. Notwithstanding the above, we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or prevent irreparable harm.
16.1. Informal Resolution: Before filing any formal legal proceeding, you agree to first contact us at support@calify-ai.com and attempt to resolve the dispute informally for at least thirty (30) days.
16.2. If informal resolution fails, disputes shall be resolved through the courts specified in Section 15.
16.3. Class Action Waiver: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that a dispute can proceed on a class basis, then this class action waiver shall be severable from these Terms, and the dispute shall proceed in the courts specified in Section 15 without a class action waiver.
17.1. We may modify these Terms at any time. When we make material changes, we will:
Update the "Last Updated" date at the top
Notify you through the App or via email
Where required by law, obtain your consent
17.2. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
18.1. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calify LTD regarding the Service.
18.3. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
18.4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
18.5. Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or third-party service outages.
